Overview
In response to questions from industry relative to small business team composition and applicability of TS-FCL requirements, the Department of Commerce (DOC) is providing general information below, subject to further clarification after solicitation release.
General Question: What types of Teaming Arrangements will be acceptable?
Pre-solicitation Response: All types of federally authorized teaming arrangements will be acceptable provided small business size status requirements are met. In this regard, DOC anticipates that the solicitation when issued will require the small business offeror to submit a copy of its active registration in the System for Award Management (SAM) verifying its status as either a small business prime, small business Joint Venture (JV), All Small protégé, or other authorized small business entity, to include possession of a DUNS specific to the small business entity submitting the offer. NOTE: The extent to which subcontracting agreements are exclusive or non-exclusive is a business matter between the prime and subcontractor and DOC does not anticipate implementing subcontracting restrictions at this juncture.
General Question: Within an offeror’s Teaming Arrangement(s), to which business entities does the TS-FCL requirement apply to?
Pre-solicitation Response: For a small business prime offer with a subcontractor(s) only the prime offeror must hold an active TS-FCL. The subcontractor(s) must hold an active TS-FCL only if providing cleared personnel. For a small business JV only one small business partner must possess an active TS-FCL. Other partners to the JV must hold an active TS-FCL only if they are providing cleared personnel. For an All Small Mentor Protégé either the mentor or the protégé must possess an active TS-FCL. NOTE: After award small business primes and small business JV partners holding the TS-FCL will be eligible to sponsor their subcontractor(s) or other JV partners for a facility clearance to enable those other team members to provide cleared personnel after award.
